Legal structures in Suriname

Suriname company registration procedures

1. The first step in forming a business in Suriname is to check whether the company name is 100% unique.

2. You must then open a corporate bank account in Suriname and deposit the minimum capital required for your business.

3. The third step in the process of registering a company in Suriname is obtaining citizenship and an extract from the Civil Registry.

4. Payment of stamp duty is also a requirement that must be fulfilled in the Department of Accounting and Finance of the Ministry of Justice and Police.

5. Another fee must be paid by the district commissioner, and the articles of association must be notarized at the notary office.

6. Then you need to apply for the registration of a Suriname enterprise in the Chamber of Commerce. Certain documents must be provided, namely the draft charter, copies of each founder’s identity cards, and their passport photographs.

7. Finally, you must obtain the approval of the act in the Office of the President and then register with the tax office at the Ministry of 

Finance

Also, note that audits will need to be conducted annually (this requires an auditor to be hired) and financial statements must be filed with the appropriate authorities.

Taxation in Suriname

There is no value-added tax in Suriname, which ranks first in the world in terms of VAT. However, there is a turnover tax of 10% for goods and 8% for services. The corporate tax is 36% and the dividend tax is 25%.
