The registration process
A legal entity can only start doing business after going through the registration process, which is set by the country’s laws. State registration of the establishment of a legal entity is done by the body in charge of state registration at the location (address) of the legal entity within five working days of submitting the documents on the Law’s list of Tajikistan “On State Registration of Legal Entities and Individual Entrepreneurs”.
To become a legal entity, you need to put together a package of documents and give them to the right people.
Documents required
The set of documents includes:
- A copy and the original of the legal entity’s charter.
- The general meeting minutes, approve the formation of a legal entity.
- A list of the members of the legal entity.
If a legal entity that already exists wants to start a new group, it must send in an extract from the state registration register and provide reliable information about the founder, such as his passport and a copy of it, his certificate of residence, and his tax identification number (TIN). For registration to go through, the legal entity must give the address of the place where it plans to do business. To do this, you need to show a certificate from an official body. Receive confirmation that a personal account has been opened where the entrepreneur’s money will be kept. Get an invoice to confirm that the state fee has been paid. Anyone can start a business as an individual entrepreneur, a corporation (limited liability company, additional liability company, or joint-stock company), a partnership (general partnership, limited liability company, or production cooperative), or a branch or representative office of a foreign company.
Payment of necessary taxes
Tajikistan’s small and medium-sized businesses have to pay taxes. The Government of the Republic of Tajikistan released a new Tax Code on September 17, 2012. This code explains all taxes and the basic tax rules in the country. On January 1, 2013, this code went into effect. The main tax breaks a small business needs to send to the treasury are:
- The non-income residents source tax for income tax.
- VAT, road tax.
- Payroll tax.
- Land tax.
- Property tax.
- Mineral extraction tax.
Putting a non-resident foreigner in charge of a company
A general director can be a Tajik citizen or a citizen of another country. A work permit is needed for anyone from outside Tajikistan who wants to work there. After submitting a full list of documents, the Migration service takes 30 days to review a work permit application for an LLC or an office/representative office and a work permit for a specific foreign national. In some situations, the process can take up to three months, but that’s the most time it can take.
